End User License Agreement (EULA)

1. License Grant

1.1 Scope of License

Total Creations grants you a limited, non-exclusive, non-transferable, revocable license to use SignalWalker ("the Software") in accordance with the terms of this EULA.

You may use the Software for:

• Personal productivity and task management
• Business purposes within your organization
• Idea management and brainstorming
• Time management and prioritization

3. Restrictions

You may NOT:

• Copy, modify, distribute, or sell the Software
• Decompile, disassemble, or reverse engineer the Software
• Remove copyright or other proprietary notices
• Use the Software for illegal or harmful purposes
• Use the Software to develop competing products
• Bypass security measures or access restrictions
• Rent, lease, or sublicense the Software to third parties
• Use automated tools to access the Software (without permission)

4. Ownership and Intellectual Property

The Software and all related rights, including but not limited to:

• Source code and object code
• User interface and design
• Documentation and guides
• Trademarks, logos, and branding
• Algorithms and business logic

are and shall remain the exclusive property of Total Creations. This EULA does not grant you any ownership rights in the Software.

5. Your Data

5.1 Ownership of User Data

You retain all rights to the data you create and store in the Software (tasks, ideas, notes, etc.).

5.2 License to Us

You grant us a non-exclusive license to use your data solely for:

• Providing and operating the Software
• Backup and recovery
• Technical support
• Improving the Software (anonymized)

5.3 Data Export

You can export your data at any time. Upon account termination, your data will be handled in accordance with our Privacy Policy.

6. Updates and Maintenance

6.1 Software Updates

We may provide updates, patches, and new versions of the Software from time to time. These updates may:

• Be installed automatically
• Add new features
• Fix bugs
• Include security enhancements

6.2 No Guarantee for Updates

We are not obligated to provide updates, but we reserve the right to do so at our sole discretion.

9. Termination

9.1 Termination by You

You may terminate this EULA at any time by:

• Deleting your account
• Ceasing to use the Software
• Removing all copies of the Software from your devices

9.2 Termination by Us

We may immediately terminate this EULA and your access to the Software if:

• You breach this EULA
• You engage in illegal activities
• You fail to make payments (for Premium/Lifetime)
• We discontinue the service
• We are legally required to do so

9.3 Consequences of Termination

Upon termination:

• Your license to use the Software immediately expires
• You must cease using the Software
• We may delete your data after a reasonable period
• You may be entitled to a prorated refund (see Refund Policy)

10. Privacy

Your use of the Software is subject to our Privacy Policy, which is part of this EULA. By using the Software, you agree to the processing of your data in accordance with the Privacy Policy.

11. Export Restrictions

You agree to comply with all applicable export control laws and regulations. You may not export or use the Software in countries subject to trade embargoes.

12. Governing Law and Jurisdiction

This EULA is governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for all disputes arising out of or in connection with this EULA is Bretten, Germany.

13. Severability Clause

If any provision of this EULA is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely approximates the economic intent.

14. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Total Creations regarding the Software and supersedes all prior agreements.

15. Changes to this EULA

We reserve the right to modify this EULA at any time. We will notify you of significant changes:

• By email to your registered address
• Through a notification in the Software
• By posting on our website

Continued use of the Software after such changes constitutes acceptance of the updated terms.
